Update the virus definitions and then restart in safe mode and scan. If you have norton, have it scan your boot records for errors.

That is usually a form of the gaobot virus. Try opening regedit or task manager and see if it does the same thing. Many varients of gaobot do it to those tasks as well.

AdAware, Spybot, and Norton... if those don't work, try killing all processes one by one with third-party software (look on planetsourcecode and such)
